To the maximum extent permitted by applicable law, HISTORIA Canada Education Inc. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Site.
To the maximum extent permitted by applicable law, our total liability for all claims related to the Site will be limited to the greater of: (a) the amount you paid to us in the 12 months preceding the event giving rise to the claim, or (b) CAD $100.
10. Indemnification
You agree to indemnify and hold harmless HISTORIA Canada Education Inc., and its directors, officers, employees, contractors, and invited specialists, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of another person or entity.
11. Force Majeure
We will not be liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, severe weather, power failures, labour disputes, public health emergencies, acts of war, civil unrest, cyberattacks, internet service provider failures, or third-party hosting outages.
12. International Use
The Site is operated from Canada and is intended for learners across Canada. We make no representation that the Site is appropriate or legally available in all jurisdictions. If you access the Site from outside Canada, you are responsible for compliance with local laws.
13. Governing Law and Venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought in the courts located in Toronto, Ontario, and you submit to the personal jurisdiction of those courts.
If you are a consumer, you may have mandatory rights under applicable consumer protection laws that cannot be waived by contract.
14. Dispute Resolution (Informal First)
Before initiating a formal legal proceeding, you agree to contact us and provide a brief written description of the issue and your requested resolution. We will make a reasonable effort to address the concern within 30 days. This informal process does not limit either party’s ability to seek urgent injunctive relief where appropriate.

17. Entire Agreement
These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and HISTORIA regarding your use of the Site, and supersede any prior agreements or communications.
18. Assignment
We may assign or transfer our rights and obligations under these Terms to an affiliate or successor in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our prior written consent.
19. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.
20. Modifications to These Terms
We may update these Terms from time to time. If we make material changes, we will post the revised Terms on this page and update the “Last Updated” date. Changes become effective 14 days after posting, unless a shorter period is required for legal or security reasons.
